DISTRIBUTION AGREEMENT

This terms of service agreement is a legal document that helps the Demiurge-Disto ("Demiurge-Disto", "we", "us", "our") set out the rules and guidelines that our users must agree to in order to use our website. These terms of use contains the right, obligations and stipulations associated with using the demiurge-Disto website. Please carefully go through the agreement, acknowledge that you have understood them before using the Demiurge-Disto website. By accessing this website, you agree to adhere to these Terms of use. Therefore before receiving access to the Demiurge-disto website and use the offered services, you must accept this Agreement. To use the Demiurge-Disto website, you must be at least 18years old and must not be restricted by any law. The Demiurge-Disto is a distribution company that offers services such as distribution of musical records to selected digital services and stores and any other uses of your musical recordings and musical compositions by Demiurge-Disto and its licenses.

Demiurge-Disto Account and Registration

• To access our services, you will have to create an account ("Demiurge-Disto Account") with our website, providing certain information about yourself as will be required by the account registration form. You must ensure that the information that you provided for the creation of account is complete and accurate. You will also be required to establish a strong username and password which will give you an access to an online user dashboard on the Demiurge-Disto website.
• While registering, you get to choose the desire packages of your choice.
• You are responsible for any activity that is carried out in your account; you are also responsible for maintaining security and confidentiality of your account’s information. Demiurge-Disto will not be held responsible for any breach of security as you will be expected to notify our website if you notice any unauthorized use of your account.
• Lastly, demiurge-disto will not be held responsible for any loss or damage, error, delay, or interruption that might occur through your account.

Demiurge-Disto Service and Recording

Our service will require that you submit your metadata which includes but is not limited to your cover artwork (IN JPG format), type of song, label, songwriter, artist name and material for use on the stores when you upload your recordings through our services. This will be at your own risk and in formats required for use on the stores.

When you submit your recordings to us in a pre-agreed format, a release date will be assigned to you which you cannot alter.

Demiurge-Disto has the right to and in its sole discretion to take down your information recordings you submitted to stores through our website or stop you from accessing our services and any of the stores.

We accept recordings in WAV, MP3 and FLAC formats.

You have the right to delete your recordings and re-upload your recordings to our sites.

Digital Stores

• Demiurge-Disto has come to terms with different stores and its purpose is to distribute your recordings. You may however, select the stores you want your recordings to be delivered to.
• Different stores have different pricing to their customers and also formats on which they offer recordings to their customers in their sole discretion and in line with their business models. These pricings are also as a result of the agreement Demiurge-Disto enters with the stores.
• Demiurge-Disto will not be responsible if your recordings are not made available or in any way taken down by the stores.
• We will not be held responsible for any delay, errors or reports in the stores either fully or partly.
• Different stores have different delivery time for the distribution of your recordings as it is in their sole discretion.
• You will receive a locked released date which you cannot alter when we send your recordings to the store, which is after you have uploaded your recordings, metadata and other materials to the Demiurge-Disto wedsite.

Royalties and Payouts

You are entitled to 90% of your royalties earned from the stores when you have a free pass account. However, you receive 100% of your royalties from other package.

Any income and royalties accumulated from recordings monetized by YouTube content ID will be subjected to 10% commission charge.

Demiurge-Disto makes payment via Hyper wallet and other methods and may deduct fees incurred by Demiurge-Disto in remitting payment.

We will notify you through your Demiurge-Disto account dashboard after we receive a payment for you from a digital store.

However, if we notice that your recordings or/and materials breaches our agreement or interference of any third party misrepresenting our services, we reserve the right to terminate your recordings and withhold your payment unless the issue is resolved to the Demiurge-Disto service satisfaction, and the money attributed to any fraudulent or other illegal activity will be forfeited.

Grants of Rights

By accessing the Demiurge-Disto services you grant us during the term and throughout the territory:

• The sub-licensable right and license to distribute, showcase and make available your recordings on the internet and authorized digital stores via streaming or downloading without any restriction whatsoever.
• The license right to use your information such as your track title, artist name, label, cover artwork, which you have submitted to Demiurge-Disto website.
• The non-exclusive right to transfer your recording the Demiurge-Disto sites and other authorized digital stores.
• To display your metadata which includes but is not limited to your track/album title, type of song, songwriter, artwork and other materials on Demiurge-Disto websites and services in any promotional materials for the digital stores, without any limitation.
• The right for us to amend or make corrections on your metadata when and where necessary in Demiurge-Disto’s sole discretion.
• The right to notify and authorized digital stores as well as third party partners of our relationship to this services and to include your information(name and trademark)in any listing of Demiurge-Disto licensors.
• The foregoing license right to Demiurge-Disto and other authorized digital stores which services allow the use and exploitation of ‘’remixes’’ of your materials or recordings without limitations to other platforms such as facebook , instagram and other licensed platforms.
• To take incomes from the authorized stores from their exploitation of your recordings.

Our Rights

We retain the right to correct, abort or discontinue our services under this Agreement at any time in Demiurge-Disto’s sole discretion.

We have the right to decline, discredit or scrap any materials from the stores and our services.

We also reserve the right to cease or end your access to the stores without notice.

Limitation of Liability

The Demiurge-Disto distribution platform limits its liability in so many ways:

The Demiurge-Disto website as well as its affiliate, owners, employees will not be responsible directly or indirectly from any punitive loss of profit, loss of sales, any omission of your recordings on the digital stores without any restriction whether based on contract or product reliability.

However, Demiurge-Disto, its affiliates and subsidiaries and the stores shall not be held accountable from and against all claims, liabilities, cost and expenses arising from out of any breach by you directly or indirectly of the warranties and the use of the materials as permitted.

Our Intellectual Property

The Demiurge-Disto metadata which includes but is not limited to our trademarks, label , logos ,domain names and other information’s of Demiurge-Disto are the property of Demiurge-Disto and its affiliates. Therefore, do not use any of our metadata be it commercial or non-commercial purpose.

The Demiurge-Disto service, encompassing but not restricted or minimal to , all related technology, tools ,data and design is the sole possession of Demiurge-Disto and its licensors.

Termination

The Demiurge-Disto website may terminate your access to the stores and services at any point with or without reason, with or without notice , with immediate effect. However, you can also terminate this argument if you wish to discontinue using this service or site.

Indemnification

You guarantee that Demiurge-Disto and our affiliates, sub-licenses, shareholders; agents as well as representatives’ will not be responsible for:

• All disputes, claims, controversies, losses, damages ,cost and expenses that is as a result of a violation of the terms of use.
• Any recordings or information and material provided by you or by a third party to the service, and breach of agreement of the third party.

CHANGES TO OUR TERMS AND PRIVACY POLICY

We may make adjustments to this service or agreement in our discretion occasionally. We advise that you check our sites for these changes. We will also notify your of these changes via an Email. Note that your continued access to the agreement after the changes indicates or implies your acceptance.
